Samantha Prasad and the Meritas Leadership Institute's Green Initiatives

Minden Gross is proud to have Samantha Prasad as a member of the Meritas Leadership Institute, a year-long project that is studying how pro-environment / sustainability initiatives are creating new industries and changing the way many existing industries do business. The Institute's three main goals are:

  1. Anticipate how the marketplace sustainability shift impacts businesses (new and existing),
  2. Study how these changes create new legal challenges for businesses, and
  3. Examine how Meritas can collectively harness the knowledge of member firms and to educate members and help businesses meet those challenges.

As part of the project, the Institute is hosting a five-member panel discussion consisting of executives, consultants and attorneys from the construction, energy, agriculture, and real estate industries at the 2008 Meritas Annual Meeting. The Institute will also provide a “best practices” handout for law firms that wish to adopt sustainable business practices and unveil a proposal for a Meritas-sponsored certification system for firms who become more environmentally conscious.

Howard Black set to speak at National STEP Canada Conference in June

Howard Black will be participating in a case study presentation about estates with potentially litigious issues at the National STEP Canada conference on June 5 and 6 in Toronto. Howard will be representing Minden Gross LLP and the Meritas Canada Tax Group.

The Society of Trust and Estate Practitioners Canada (STEP) is the leading international organization for trust and estates professionals. Members provide domestic and international advice on trust and estates, including planning, administration and related taxes.

Billy Bee Honey Products Limited sale to McCormick & Company, Incorporated

Minden Gross LLP acted on the sale of Billy Bee Honey Products Limited, a producer and distributor of Canada’s leading brand of honey and honey products, to La Cie McCormick Canada Co., the Canadian division of the Maryland-based spice and seasonings giant.

Billy Bee was represented by Minden Gross LLP with a team that included Hartley R. Nathan Q.C., Jack B. Tannerya and Yosef Adler (Corporate), Joan E. Jung (Tax), Martin Maierovits and Melodie D. Eng (Real Estate), Glen Lewis (Insolvency), Tracy Kay (Employment & Labour) and Adam Perzow (Leasing).

The sale transaction was completed on February 20, 2008.

Minden Gross retained for $2.556 billion financing

Stephen Posen, Aaron Grubner and Brian Temins were retained as Canadian counsel to the U.S. law firm of Latham Watkins LLP to act on the $2.556 billion financing by an affiliate of Goldman Sachs, a leading global investment banking firm, to finance the acquisition of a Canadian paper mill and lumber company.

Minden Gross LLP Canadian counsel for APN Holding Company, Inc. in acquisition by Salton, Inc.

Minden Gross LLP acted as Canadian counsel to APN Holding Company, Inc. in the acquisition of APN by Salton, Inc. and a US$200 million credit facility with Bank of America N.A. The combination of Salton and APN is expected to create one of the largest U.S. public companies focused on the household small appliance industry. APN was represented by Minden Gross LLP with a team that included Alan Litwack (Corporate), Jack Tannerya (Corporate), Raymond Slattery (Litigation), David Louis (Tax), and Mordecai Bobrowsky (Leasing).

David Louis and Samantha Prasad released the second edition of their best-selling book Tax & Family Business Succession Planning. This newest edition provides an in-depth overview of the tax issues involved in family business succession planning and is primarily targeted to accountants and lawyers. The book is published by CCH Canadian Limited.

The Law Society's Specialist Certification Program is designed to assist members of the public and the profession to identify lawyers who have met established standards of experience and knowledge in certain fields of law and who have maintained a high standard of professional practice.

To qualify, a lawyer must have practiced for at least seven years prior to the date of application for certification, have at least five years experience in Corporate and Commercial Law and comply with specific practice concentration and experience requirements. In addition, the lawyer must comply with the professional development and professional practice requirements to achieve and maintain certification.
